Beta Tester Agreement

This Beta Tester Agreement (“Agreement”) is between Jhabba Washington, an individual doing business as “Shhout” (“we,” “us,” “Shhout”), and you, the individual accepting these terms (“you,” “Tester”). By creating an account or using the Shhout beta service (the “Beta Service”), you agree to this Agreement. If you do not agree, do not use the Beta Service.
This Agreement supplements the Shhout Terms of Service. If this Agreement conflicts with the Terms of Service, this Agreement controls with respect to the beta.
1. The Beta Service
Shhout is in a pre-release, beta testing phase. The Beta Service is provided so we can test functionality, gather feedback, and improve the product before general availability.
The Beta Service is incomplete by design. Features may be limited, missing, changed, broken, or removed at any time without notice. We may suspend, restrict, or discontinue all or part of the Beta Service at any time, for any reason, without notice or liability.
Access is by invitation only. Invitations are personal and non-transferable. We may revoke access at any time at our sole discretion. You must be at least 18 years old to participate.
2. Voluntary participation; no compensation
Your participation is entirely voluntary. You may stop using the Beta Service at any time, and we may end your participation at any time.
You will receive no compensation of any kind — no payment, equity, credits, fees, royalties, or other consideration — for your participation, your feedback, or your use of the Beta Service, now or in the future. Participation does not create any expectation of continued access, of any particular feature, or of access to any future version of Shhout on any particular terms (including pricing).
3. No partnership or other relationship
Nothing in this Agreement, and nothing about your participation, creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and us. You have no authority to act for us, represent us, or bind us in any way, and you agree not to state or imply that you do.
4. License to use the Beta Service
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Beta Service for testing and evaluation during the beta period, subject to this Agreement.
You may not: (a) resell, sublicense, or provide the Beta Service to third parties; (b) reverse engineer, decompile, or attempt to extract source code except where the law permits it despite this restriction; (c) probe, scan, or test the vulnerability of the Beta Service except with our prior written consent; (d) use the Beta Service to build a competing product; (e) use automated means to access the Beta Service beyond its intended interfaces.
5. Your content and data
You retain ownership of content you post to the Beta Service (“Tester Content”). You grant us a worldwide, royalty-free license to host, store, reproduce, modify, display, and distribute Tester Content as needed to operate, test, and improve the Beta Service.
No data persistence. The Beta Service is a test environment. We do not guarantee that any Tester Content, account data, messages, or other data will be preserved — during the beta or after it ends. Data may be modified, lost, or permanently deleted at any time, including in full at the end of the beta period, without notice. Do not use the Beta Service as the only copy of anything you care about.
We do not guarantee any data export or migration to a future production version of Shhout. We may offer a best-effort export before a planned wipe, but are not obligated to. Our handling of personal data is described in our Privacy Policy, which is incorporated into this Agreement.
6. Feedback
Providing feedback — bug reports, ideas, suggestions, and criticism (“Feedback”) — is voluntary. You grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate Feedback into our products and services for any purpose, without compensation, attribution, or obligation to you. We may use Feedback or not, at our discretion.
7. Confidentiality
The Beta Service, its features, and non-public information about it are confidential. You agree not to publicly disclose, demonstrate, or share screenshots or recordings of the Beta Service without our prior written consent, until we make the relevant features publicly available.
This section does not restrict information that is or becomes public through no fault of yours, or disclosures required by law.
8. Acceptable use
You agree not to use the Beta Service to do anything unlawful, to harass or harm others, to post content you don’t have the right to post, to impersonate any person or entity, or to interfere with the operation of the Beta Service or other testers’ use of it. We may remove content or suspend accounts that violate this section at our sole discretion.
9. No warranty
The Beta Service is provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage. We do not warrant that the Beta Service will be uninterrupted, error-free, or secure, or that data will be preserved.
10. Limitation of liability
To the maximum extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or business opportunity, arising from or related to the Beta Service or this Agreement; and (b) our total aggregate liability will not exceed the greater of the amounts you have paid us for the Beta Service in the 12 months before the claim arose or US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
11. Term and termination
This Agreement starts when you accept it and continues until the beta period ends or your participation is terminated. Either party may terminate at any time, for any reason: you by stopping use of the Beta Service (or requesting account deletion), and we by suspending or removing your access.
On termination or the end of the beta, your license ends and we may delete your account and all associated data. Sections 2, 3, 5, 6, 7, 9, 10, and this sentence survive termination.
12. General
We may update this Agreement; material changes will be presented for re-acceptance in the app. This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules; disputes will be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement about the beta. If any provision is unenforceable, the rest remains in effect; failure to enforce a provision is not a waiver. You may not assign this Agreement; we may assign it in connection with a merger, acquisition, or sale of assets.
